What is a Security Token Offering (STO)?

An STO is a fundraising method where a security is tokenized on a blockchain and sold to investors. It is similar to an IPO, but is far less expensive and is restricted only to accredited investors. This allows startups to raise capital like the Fortune 500 at a fraction of the cost. When you invest in an offering, you deposit stablecoin into the STO contract. Once a successful offering has concluded, your funds are sent directly to the startup and security tokens are minted directly to you. Funds deposited into failed STOs are refunded to investors with no fees. This architecture ensures instant settlement and automated, onchain compliance.

Who can invest on Numena?

Numena is open to accredited investors only. This includes individuals with a net worth over $1M (excluding primary residence), annual income over $200K ($300K jointly) for the past 2 years, or holders of Series 7, 65, or 82 licenses. Institutions with more than $5M in assets also qualify.

How long does it take to get verified?

KYC/AML checks are instant. Investor accreditation checks take up to one business day.

How are my assets secured?

Your assets are held in an ERC-7579 smart wallet, which can be accessed using your password, passkey, or crypto wallet. All of Numena's smart contracts undergo regular third-party security audits. You retain full control and custody of your tokens.
